Terms of Service

  • The Deal: We provide audio utility software. Some products are sold under paid licenses, and some may be offered free of charge.
  • Trials and Purchases: Where a product offers a free trial, use it to confirm the app suits your workflow before purchasing. Paid license purchases are final and non-refundable unless required by law or stated otherwise at checkout.
  • The License: You can use the software for professional and commercial client work. You can't resell our apps, share license access, or pirate them.
  • Be Nice: Don't try to reverse-engineer our code or hack our systems.
  • Liability: We try hard to make great software, but we are not liable if a crash leads to lost work.

1. Agreement to Terms

By accessing or using Forrester Savell Audio's software, website, and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Forrester Savell Audio provides audio processing software and tools for engineers, producers, and audio professionals. Our Services may include:

  • Desktop application software for macOS and, where supported by the product, Windows
  • License management, trial, and activation systems for paid products
  • User account portal and download services where available
  • Customer support and software updates

3. License Types and Grants

3.1 Subscription License

A subscription license grants you a non-exclusive, non-transferable right to use the covered paid software for the duration of your active subscription period. The subscription automatically renews unless cancelled.

3.2 Perpetual License

A perpetual license grants you a non-exclusive, non-transferable right to use the covered paid software version available at the time of purchase, indefinitely. Major version updates may require an additional purchase.

3.3 Free Software

Some products may be offered free of charge. Free software is still licensed, not sold, and remains subject to these Terms unless a separate license is provided with that product.

3.4 License Restrictions

You may NOT:

  • Share, transfer, or resell your license to third parties.
  • Reverse engineer, decompile, or disassemble the software.
  • Remove or modify any proprietary notices or labels.
  • Use the software for any illegal or unauthorized purpose.
  • Exceed the device activation limits specified in your license or account access.
  • Resell the Software as a standalone service (e.g., creating an automated web service that wraps our tool). Standard commercial use, such as audio processing for clients, is fully permitted.

4. Account Registration

Some Services require an account, including license management, downloads, trials, purchases, and other account-based access. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account
  • Use your account only for lawful purposes

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payment and Billing

5.1 Pricing

Current pricing for paid licenses is displayed on our website or checkout flow. We reserve the right to change prices at any time, but price changes will not affect existing active subscriptions until renewal.

5.2 Payment Processing

Payments for paid products are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5.3 Subscription Renewals

Subscription licenses automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription price.

5.4 Taxes

Prices do not include applicable sales, use, or value-added taxes. You are responsible for paying any taxes associated with your purchase.

5.5 Trial and Refund Policy

Some paid products may offer a free trial, such as a 14-day evaluation period, so you can test the app's features and compatibility with your system before purchase.

Due to the availability of evaluation options, paid license purchases, including subscription and perpetual licenses, are final and non-refundable unless required by law or stated otherwise at checkout.

We do not offer money-back guarantees or credit for partially used subscription periods. Please ensure the software meets your requirements during any available trial period.

6. Device Activation and Deactivation

Paid licenses may permit installation and activation on a limited number of devices as specified in your license type. Where device activation is used, you may deactivate the software on a device to free up an activation slot for use on another device. Contact support if you need assistance with device management.

7. Updates and Support

7.1 Software Updates

We provide regular software updates including bug fixes, security patches, and feature improvements.

  • Subscriptions: You receive all updates (major and minor) for free while your subscription is active.
  • Perpetual Licenses: You receive all minor updates for your purchased version (e.g., v1.0 to v1.9). Major version upgrades (e.g., v1.0 to v2.0) may require an upgrade fee, though we often offer discount pricing for existing users.

7.2 Customer Support

We are a small team (of actual humans). We provide support via email and our contact form and aim to reply within 24-48 business hours. We promise to listen and do our best to help with license or installation issues.

7.3 End of Support

We reserve the right to discontinue support for older versions of the software. We will provide reasonable notice before ending support for any version.

8. Intellectual Property

Forrester Savell Audio and all associated software, documentation, trademarks, and content are the property of Forrester Savell Audio and are protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited license to use the software but do not transfer any ownership rights.

9. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may NOT:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit any harmful code or malware
  • Attempt to gain unauthorized access to our systems
  • Use the Services to harass, abuse, or harm others
  • Interfere with or disrupt the Services or servers

10. Disclaimer of Warranties

(Human Translation: Software is complex. Sometimes it breaks. We do our best to test it, but we can't promise it will be perfect on every computer forever. Use it at your own risk.)

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free.
  • The results obtained from using the Services will be accurate or reliable.
  • Any defects in the software will be corrected.
  • The Services will meet your specific requirements.

11. Limitation of Liability

(Human Translation: If our software causes an issue, our total liability to you is limited to the money you paid us in the last year. We are not liable for indirect losses like lost data or lost business revenue.)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORRESTER SAVELL AUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Forrester Savell Audio, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services or violation of these Terms.

13. Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You may delete your account by contacting support.

13.2 Termination by Us

We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe:

  • Violates these Terms or our policies
  • Harms other users or our business
  • Exposes us to liability
  • Is fraudulent or illegal

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except that either party may seek injunctive relief in court.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Forrester Savell Audio regarding the Services and supersede all prior agreements.

16.2 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
